SHIPPERS BAY™ USER AGREEMENT

This Shippers Bay™ User Agreement (the “Agreement”) and all policies and terms posted on or accessible through our websites, applications, tools, and services (collectively, the “Services”) set forth the terms on which Shippers Bay Pvt. Ltd., a company registered under the laws of Nepal (hereinafter referred to as “Shippers Bay”, “we”, “our”, or “us”), offers you access to and use of our logistics, courier, cargo, and associated services. By accessing or using our Services, you agree to comply with and be bound by this Agreement.

  1. About Shippers Bay™

    Shippers Bay™ is a logistics and cargo company that offers courier, freight, and transportation solutions for individuals, businesses, and organizations. We provide door-to-door cargo handling, domestic and international courier services, customs clearance, warehousing, and supply chain solutions.

    By using our platform, mobile applications, or contacting us directly, customers can request quotations, place transport orders, track shipments, and receive delivery services, subject to this User Agreement and applicable law.

  2. Our Role

    Shippers Bay operates either as a service provider or a facilitator between customers and independent logistics vendors or service professionals, depending on the nature of the shipment. In cases where third-party service providers are engaged, we act solely as an intermediary and are not a party to the direct contract between the customer and such providers.

  3. Prohibited Use of Services

    When using Shippers Bay Services, you agree not to:

    • Use our platform or services for illegal shipments or fraudulent activities.
    • Submit false, misleading, or offensive content or documents.
    • Violate any local or international laws, customs regulations, or trade sanctions.
    • Ship items that are restricted, hazardous, counterfeit, or otherwise prohibited.
    • Interfere with our operations, networks, or security protocols.
    • Use scraping tools, bots, or unauthorized automation to access our systems.
    • Infringe on our intellectual property or that of third parties.
    • Circumvent access controls, authentication systems, or service limitations.

    We reserve the right to suspend or terminate your access to our Services if any abuse or violation of these terms is detected.

  4. Reliance on Customer Information

    You are responsible for providing accurate and complete shipment information including addresses, item descriptions, weights, and legal documentation. We and our partners rely on this information to process and transport your shipment correctly.

    You shall indemnify Shippers Bay and its affiliates from any losses, damages, or penalties resulting from inaccuracies, omissions, or misstatements in the information provided.

  5. Quotations and Transport Orders

    Any quote provided by Shippers Bay is based on the information received and current market rates. Quotations are non-binding until confirmed by both parties in writing or electronically. We reserve the right to revise quotations in case of changes in shipment parameters, weight discrepancies, or additional service requests.

  6. Freight and Logistics Contracts

    Upon confirmation of a transport order, a logistics service agreement is formed between you and Shippers Bay (or a nominated logistics partner). In cases where third-party providers handle the transportation, you agree that Shippers Bay’s role is limited to facilitation, and we are not liable for direct service failures or damages unless expressly agreed.

    Shippers Bay disclaims liability for delays, damage, or losses incurred by third-party carriers, customs authorities, or due to force majeure.

  7. Electronic Communication and Acceptance

    You consent to receive communication, documents, and confirmations electronically. Your use of our Services constitutes your electronic acceptance of this Agreement and other related terms, and has the same legal standing as a signed document.

  8. Disclaimer of Warranties; Limitation of Liability

    While we aim to provide reliable logistics solutions, our Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Shippers Bay disclaims all warranties, express or implied.

    We shall not be liable for:

    • Delays or failures caused by third parties, strikes, or natural disasters.
    • Loss of profits, goodwill, or indirect damages.
    • Data or system issues caused by user error or unauthorized access.

    If we are found liable for any reason, our maximum liability is limited to NPR 10,000 (Ten Thousand Nepalese Rupees) per incident or the value of the shipment, whichever is lower, unless a higher value is declared and insured.

  9. Compliance with Law and Sanctions

    It is your responsibility to ensure that your shipment complies with all applicable laws, including export/import regulations and international sanctions. Shippers Bay reserves the right to reject or suspend any shipment that violates such regulations.

    You agree to indemnify Shippers Bay from any legal consequences resulting from unlawful shipments.

  10. Confidentiality & Data Privacy

    All user data and shipment information are treated as confidential. We do not share your personal or shipment data with third parties except as required for logistics operations, legal compliance, or under our Privacy Policy.

  11. Research and Insights

    We may use anonymized and aggregated data from our Services to improve logistics planning, market analysis, or publish industry insights. Individual user information will never be shared in a personally identifiable form.

  12. Governing Law and Dispute Resolution

    This Agreement is governed by the laws of Nepal. In the event of a dispute:

    • We encourage informal resolution by contacting our support team.
    • If unresolved, both parties agree to submit to the non-exclusive jurisdiction of the courts of Kathmandu, Nepal.
    • Alternatively, either party may propose resolution through arbitration, as per prevailing arbitration laws in Nepal.
